I was up at 5 AM, had prayer, and worked on things I want to discuss at the meeting this morning. I showered, shaved and studied scriptures for a couple of hours.  When everyone got up Alex, Brett, and I went to breakfast at Frist Watch on DAwsonville Hwy, in Gainesville.  At 10:45 AM we went to Stewart, Melvin, & Frost office in Hunt Tower in Gainesville.  Mr. Cornelison, Attorney, came out and took us back to their conference room.  Janie and her son, Jimmy were already there.  Shnnon Anderson, Nancy Abercrombie's niece, came and Rick Abercrombie, Nancy's son, rode his motorcycle and was a little late.  Jimmy asked everyone if the meeting could be audio taped.  He and Alex recorded the meeting.  Jimmy explained the tax order to have all small business report owners with copied of their driver licenses.  Jimmis is sending an email and I can copy and send my drivers licenses an he will put it with the other members of A&M and send them in.  He turned the meeting over to me and I asked Jamie Morris Dunman first if she wanted to sell her interest in the nursing homes and she said yes.  I next asked Shannon and Rick what they and their mother, Nancy Abercrombie, wanted?  They also said they wanted our as Janie said she did.  I next asked them what they wanted and each family said they wanted their 1/3 interest in the appraised value of the appraisal they had done, about $8,500,000 and Janie said she would include the 17 acres that Jimmy has deeded to A&M.  Jimmie agreed to send me a LOI, Letter Of Intent, to sale.  I told them I would need some time after I receive the LOI to get appraisals and the financing.  After the meeting I took Alex to Brenau University for women in Gainesville.  She made a contact and Alex got her business card and will send her information about the graduation software.  Brett drove up to Cleveland, White County, and visited Friendship and Gateway Nursing Home.  I called and text Jimmy Morris about visiting Friendship Nursing Home.  He said he had no problems with Brett visiting.  Alex and I went to the movie theater and watched Conclave.  A movie about how a new Pope is selected in the Catholic Church.  I took Alex to the Atlanta Airport to catch her Forntier Flight back to SLC at 7:55 PM.  I drove to the Extended Stay America Perimeter on Crestline near the Atlanta Temple.  I called and talked to Max and Debbie, checked in the Inn and ate the leftover food from yesterday.  I watched the movie, Superman.  Debbie called; she was at Allison Gourley's cheer competition.  Twentyfive schools were competing.  When she was free we had prayer together.  Later I reviewed over my notes from our meeting today regarding the nursing homes and talked to Matthew.  I had my personal prayer and went to bed about 10:3 PM.

Agenda items, I would like to discuss:
1. What does each member want and expect from A&M Investment?  To have continued rental income, expand the health care operations of A&M, or sell our assets, divide the proceeds, and get out of the nursing home rental business, and/or other thoughts?


2.     Where does each member see A&M Investment in 5 years? Still leasing the nursing homes, expanding and leasing more nursing homes or other businesses, or completely out of the nursing home business and A&M Investment Group closed?

A) Get out of the nursing home rental business and close A&M Investment Group.

B) My family is provided for, especially the ones who are handicapped and will never be able to provide for themselves.

C) Following the same thought, first, all the residents in the nursing homes receive excellent care from those who work in the facilities. None of the patients developed bed sores, are not given their medications, or received any other neglected service.

D) The employees who have given their time in serving and caring for the sick and needy be treated fairly and honestly in wage compensation. 

E) If the other members want to close A&M Investment and get out of the nursing home rental business, I suggest we get current MAI appraisals on all our assets.
